Terms of Service

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE DISCLAIMERS OF WARRANTIES, ASSUMPTION-OF-RISK AND RELEASE PROVISIONS, LIMITS ON BAKIFY'S LIABILITY, AND A BINDING ARBITRATION CLAUSE WITH A CLASS-ACTION WAIVER (SECTION 17) THAT AFFECT YOUR LEGAL RIGHTS.

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Bakify (“Bakify,” “we,” “us”) governing your use of the Bakify website, mobile application, and related services (together, the “Service”). By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Bakify is a marketplace — not a food business

Bakify is a neutral technology platform that lets independent home bakers and cooks (“Sellers”) list goods and lets buyers (“Buyers”) find and order them. Bakify does not produce, prepare, handle, store, inspect, package, transport, or deliver any food, and is not a party to any transaction between Buyers and Sellers. The purchase contract is formed directly between the Buyer and the Seller. Sellers are independent businesses, not employees, agents, contractors, franchisees, or partners of Bakify, and Bakify does not endorse, supervise, or guarantee any Seller, listing, or product.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered for use in the United States. You may not use the Service if you have previously been removed from it or are barred from receiving it under applicable law.

4. Accounts & security

You are responsible for your account, for keeping your credentials confidential, and for everything that happens under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including for suspected fraud, safety risk, or violation of these Terms.

5. Seller responsibilities & legal compliance

If you sell through the Service, you represent and agree that:

  • You are solely responsible for complying with all laws applicable to your food business, including cottage-food laws, home-kitchen or microenterprise home kitchen (MEHKO) permitting, registration, inspection, labeling, revenue and volume caps, and any local health-department requirements in your jurisdiction. Selling food that your jurisdiction does not permit you to sell is a violation of these Terms.
  • You will accurately describe every listing, including a complete and truthful disclosure of ingredients and allergens, and you will honor published prices, quantities, and pickup commitments.
  • You are solely responsible for food safety — safe preparation, storage, packaging, transport, and handling of everything you sell.
  • You are solely responsible for your own taxes (income, sales, and any other applicable taxes), insurance, and business registrations. Bakify does not withhold or remit taxes for you.
  • Payouts are processed by Stripe under the Stripe Connected Account Agreement, which you must accept to receive payment.

6. Buyer acknowledgments & assumption of risk

By ordering through the Service you acknowledge and agree that:

  • Food sold on Bakify is prepared by independent home cooks in private home kitchens that are generally not inspected, licensed, or supervised by any government agency or by Bakify.
  • Home kitchens commonly handle major allergens(including milk, eggs, wheat, soy, peanuts, tree nuts, fish, shellfish, and sesame), and cross-contact is possible even when an item's recipe does not include an allergen. If you have a food allergy, intolerance, or dietary restriction, you are responsible for reviewing listings and confirming directly with the Seller before ordering, and you eat at your own risk.
  • YOU VOLUNTARILY ASSUME ALL RISK arising from purchasing and consuming food obtained through the Service, including risks of allergic reaction, foodborne illness, and mislabeling.

7. In-person meetups

Pickups, drop-offs, and meetups are arranged and carried out entirely between Buyer and Seller. Use common sense: prefer public, well-lit locations; bring a friend when practical; use the in-app safety features. Bakify does not screen users, does not supervise meetups, and is not responsible for the conduct of any user, online or offline. You assume all risks arising from in-person interactions with other users.

8. Payments, fees & taxes

Payments are processed by Stripe; Bakify never stores full card numbers. Buyers are charged when they pay for a confirmed order (including drop claims, which confirm immediately). Bakify may charge and change platform or processing fees, which will be disclosed before they apply. Circumventing the platform — soliciting or paying off-platform to avoid fees — is a violation of these Terms and forfeits all platform protections. Prices are set by Sellers; Sellers are responsible for any applicable taxes on their sales.

9. Orders, cancellations & refunds

An order becomes binding on the Buyer when paid. Sellers must fulfill paid orders or promptly refund them. Buyers may edit or cancel pending (unconfirmed, unpaid) orders. Refunds for paid orders are issued through the in-app refund process; Bakify may, at its sole discretion, mediate disputes and instruct Stripe to reverse a payment, but Bakify does not guarantee any outcome, refund, or recovery. Chargebacks initiated in bad faith may result in account termination.

10. Your content

You retain ownership of the content you post (photos, listings, reviews, replies, bios, rankings). You grant Bakify a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute that content in connection with operating, improving, and promoting the Service. You represent that you have all rights to the content you post and that it is accurate and lawful. We may remove or moderate any content at any time without notice. Reviews and taste rankings must reflect a genuine transaction and honest opinion; buying, selling, or manipulating reviews or rankings is prohibited.

11. Prohibited conduct

  • Breaking any applicable law, including food-safety and cottage-food requirements;
  • Selling anything other than food permitted by your jurisdiction (no alcohol, cannabis or CBD products, medicines, supplements, or age-restricted goods);
  • Misrepresenting ingredients, allergens, identity, or credentials (including verification status);
  • Harassment, threats, discrimination, or abusive conduct toward any user;
  • Fraud of any kind, fee circumvention, fake orders, review or ranking manipulation;
  • Scraping, harvesting user data, probing or breaching security, reverse engineering, or interfering with the Service (including rate limits and access controls);
  • Using the Service on behalf of a competitor or to build a competing dataset.

12. Bakify's intellectual property

The Service — including software, design, text, graphics, logos, and trademarks — is owned by Bakify or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the apps and site for their intended purpose. No other rights are granted.

13. Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice compliant with 17 U.S.C. § 512 to our designated contact (see Section 20) including: identification of the work, the infringing material's location, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We may remove content and terminate repeat infringers.

14. Third-party services

The Service relies on third-party services (including Stripe for payments, Supabase for infrastructure, Expo for notifications, and map/geocoding providers). Your use of those services may be subject to their own terms, and Bakify is not responsible for them.

15. Release of claims between users

Your interactions with other users are solely between you and them. To the fullest extent permitted by law, you release Bakify and its officers, directors, employees, and agents from any and all claims, demands, and damages of every kind, known and unknown, arising out of or connected with disputes between you and one or more other users(including disputes about food quality, safety, allergens, illness, payment, conduct at meetups, or anything else). If you are a California resident, you waive California Civil Code § 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

16. Disclaimers & limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. Bakify makes no warranty about the quality, safety, legality, or accuracy of any listing, Seller, food item, or user content, and does not warrant that the Service will be uninterrupted, secure, or error-free.

To the fullest extent permitted by law: (a) Bakify will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, personal injury, illness, or property damage, arising out of or related to the Service or any food purchased through it, even if advised of the possibility; and (b) Bakify's total aggregate liability for all claims will not exceed the greater of one hundred U.S. dollars ($100) or the platform fees you paid to Bakify in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in those jurisdictions these limits apply to the fullest extent permitted.

17. Binding arbitration & class-action waiver

READ THIS SECTION CAREFULLY — IT REQUIRES DISPUTES TO BE ARBITRATED INDIVIDUALLY AND WAIVES JURY TRIALS AND CLASS ACTIONS.

You and Bakify agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that (a) either party may bring an individual claim in small-claims court, and (b) either party may seek injunctive relief in court for infringement or misuse of intellectual property or data. The Federal Arbitration Act governs this section. Arbitration will take place in the county where you live or another mutually agreed location, and may proceed by video or documents. YOU AND BAKIFY EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court. Opt-out: you may reject this arbitration agreement by emailing us within 30 days of first accepting these Terms with your name, account email, and a clear statement that you opt out of arbitration; opting out does not affect any other section.

18. Indemnification

You agree to defend, indemnify, and hold harmless Bakify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content or listings; (c) food you prepare, sell, or deliver; (d) your violation of these Terms or any law (including food-safety and cottage-food laws); or (e) your interactions with any other user.

19. Governing law, termination & changes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflicts of law, except that the Federal Arbitration Act governs Section 17. For any claim not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Allegheny County, Pennsylvania. You may stop using the Service at any time and may delete your account in-app; we may suspend or terminate your access at any time for any reason, including violations of these Terms. Sections that by their nature should survive (including 6, 7, 10, 15–18) survive termination. We may modify these Terms; material changes will be posted with an updated date, and continued use after changes take effect constitutes acceptance.

20. Miscellaneous & contact

If any provision of these Terms is held unenforceable, the remainder stays in effect. These Terms (with the Privacy Policy) are the entire agreement between you and Bakify about the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
